Terms of Service

These Terms of Service (the "Terms") form a binding agreement between you ("you," "your") and EasyFunds LLC, a Delaware limited liability company ("EasyFunds," "we," "us," "our"), governing your access to and use of the Riskframer service at riskframer.com and dashboard.riskframer.com (the "Service").

By creating an account, starting a free trial, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

Important. Riskframer is a discipline tool for retail traders. It is not a broker, not investment advice, and not a financial intermediary. Trading carries the risk of substantial loss. You alone are responsible for your trading decisions and outcomes. See Sections 7 and 12 below.

1. Eligibility

To use the Service you must:

• Be at least 18 years old and have the legal capacity to enter into a binding contract under the laws of your country.
• Not be located in, or a resident of, any country subject to a comprehensive embargo by the United States Government, the European Union, or the United Nations, including but not limited to Cuba, Iran, North Korea, Syria, the Crimea, Donetsk, and Luhansk regions.
• Not be listed on any restricted-party or sanctions list maintained by the U.S. Treasury Department's Office of Foreign Assets Control (OFAC), the EU, the UN, or the UK.
• Not be barred from receiving services under applicable law.

2. The Service

Riskframer is a software-as-a-service product designed to help retail traders enforce their own trading rules on top of a connected MT4 or MT5 brokerage account. The Service includes:

• A free trading journal with manual entry, tagging, screenshots, analytics, and CSV export.
• A Pro tier that adds a live terminal: server-side enforcement of risk rules (mandatory stop loss, max R per trade, daily kill switch, etc.), R-sized order entry, partial-TP management, auto-breakeven, automated journaling of executed trades, and additional analytics.

2.1 What Riskframer Is Not

• Riskframer is not a broker. We do not hold customer funds. We do not have access to withdrawal functions of your brokerage account. Your money never leaves your broker.
• Riskframer is not an investment advisor. We do not provide buy/sell recommendations, signals, market analysis, asset management, or any service requiring registration as an investment advisor with the U.S. Securities and Exchange Commission (SEC), the Commodity Futures Trading Commission (CFTC), the National Futures Association (NFA), the EU's ESMA, or any other regulator.
• Riskframer is not a payment service or wallet.
• Riskframer is not suitable for high-frequency or sub-1-minute scalping, fully automated algorithmic trading, or prop firm accounts (prop firm support is on the roadmap but not yet available; using the Service on a prop firm account may violate that firm's rules and is at your sole risk).

3. Account & Security

You are responsible for:

• The accuracy of the registration information you provide.
• Maintaining the confidentiality of your login credentials and any brokerage credentials you connect to the Service.
• All activity that occurs under your account, whether or not authorized by you.

You agree to notify us immediately at legal@riskframer.com if you suspect unauthorized access to your account.

You may not (a) share your account with third parties; (b) create multiple accounts to abuse trials or promotions; (c) impersonate another person; or (d) attempt to access another user's account.

4. Acceptable Use

You agree not to:

• Use the Service for unlawful purposes, market manipulation, insider trading, money laundering, terrorist financing, or any breach of your broker's terms.
• Reverse-engineer, decompile, scrape, or attempt to extract the source code of the Service except as expressly permitted by applicable law.
• Bypass, disable, or interfere with security features, rate limits, or quotas.
• Use the Service to develop a competing product or to benchmark for a competing product.
• Send through the Service any malware, viruses, or content that infringes third-party rights.
• Use the Service in a way that violates the rules of any prop firm, broker, exchange, or regulated entity to which you are subject.
• Use the Service on automated/bot/algorithmic trading strategies without our prior written consent.

We may suspend or terminate your account for any breach of this section, without notice and without refund.

5. Subscriptions, Pricing & Payment

5.1 Free Tier

The free journal is offered at no cost, with no credit card required at signup. We reserve the right to introduce reasonable fair-use limits for abuse prevention but will not retroactively paywall features that were free at the time of your account creation.

5.2 Pro Tier & Free Trial

Riskframer Pro is offered as a subscription at the prices displayed on the pricing page at the time you subscribe. A valid payment method is required to start the 14-day free trial. You will not be charged during the trial. If you do not cancel before the trial ends, you will be automatically charged the subscription fee.

5.3 Renewal & Cancellation

Subscriptions renew automatically at the end of each billing period (monthly or annual) at the then-current price unless cancelled. You may cancel at any time from your billing settings or by emailing legal@riskframer.com. After cancellation, you keep Pro access until the end of the current billing period; no proration or refund is issued for the unused portion.

5.4 Payment Processing

Payments are processed by Stripe, Inc. By providing a payment method, you authorize us (through Stripe) to charge that method for all amounts due. We do not store your full card number.

5.5 Refunds

All payments are final and non-refundable, except as required by mandatory law. See the Refund Policy for full details.

5.6 Taxes

Prices displayed may exclude applicable taxes (VAT, GST, sales tax). Where required, taxes will be added at checkout based on your billing address. You are responsible for any taxes due in your jurisdiction.

5.7 Price Changes

We may change subscription prices for future billing periods. We will notify you by email at least 30 days before a price change takes effect for your subscription. If you do not accept the new price, you may cancel before it takes effect.

6. Brokerage Connection (Pro)

To use the Pro live terminal you must connect your MT4 or MT5 brokerage account through our broker connectivity provider. By doing so, you authorize:

• The connectivity provider to read your account state (balance, equity, positions, order history) and to submit, modify, and cancel orders on your behalf according to your instructions in the Service.
• The connectivity provider not to access withdrawal functions, deposits, internal transfers, or any function unrelated to trade execution.

You are solely responsible for ensuring that connecting your brokerage account to a third-party tool is permitted under your broker's terms. We are not responsible for any action your broker may take in response to that connection.

7. Trading Risk & Disclaimers

Trading carries risk of substantial loss. Past performance does not guarantee future results. Risk management tools reduce the risk of human error, but they do not eliminate market risk, slippage, gaps, broker errors, connectivity failures, or any other risk inherent to trading.

You acknowledge and agree that:

• You are solely responsible for your trading decisions and outcomes.
• The Service depends on third parties (your broker, our connectivity provider, our hosting providers, your internet connection) whose availability and performance we do not fully control.
• We do not guarantee profit, the avoidance of loss, the execution of any order, the accuracy of any quote, or any specific trading outcome.
• We are not liable for losses arising from your broker, third-party services, market conditions, force majeure, your strategy, or your discretionary decisions, except as required by mandatory law.
• The Service is provided "as is" and "as available," without warranties of any kind to the maximum extent permitted by law.

8. Intellectual Property

All software, design, branding, content, and documentation related to the Service are the exclusive property of EasyFunds or its licensors. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal trading purposes, subject to these Terms.

Your trade data, journal entries, screenshots, and notes ("Your Content") remain your property. You grant us a worldwide, royalty-free, non-exclusive license to host, store, process, display, and back up Your Content solely as necessary to provide the Service.

We may use aggregated and anonymized data derived from the Service (which does not identify you) for any lawful purpose, including improving the Service.

9. Feedback

If you send us suggestions, ideas, or feedback about the Service, you grant us a perpetual, worldwide, royalty-free, sublicensable, irrevocable license to use that feedback for any purpose without obligation to you.

10. Service Availability & Changes

We aim for high availability but do not guarantee uninterrupted access. Maintenance windows, third-party outages, or force majeure events may temporarily affect availability.

We may modify, suspend, or discontinue any feature of the Service at any time. For material changes that adversely affect a paying user, we will provide reasonable advance notice where practicable.

11. Suspension & Termination

We may suspend or terminate your access to the Service, with or without notice, if you breach these Terms, abuse the Service, use it unlawfully, or for any other reason we deem necessary to protect the Service, our users, or third parties.

You may close your account at any time from account settings. Upon closure we delete your personal data in accordance with our Privacy Policy. Sections that by their nature should survive (including Sections 7, 8, 12, 13, 14, 15, 16) will survive termination.

12. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED OPERATION.

WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, THAT TRADES WILL BE EXECUTED AT ANY SPECIFIC PRICE OR TIME, OR THAT ANY DEFECTS WILL BE CORRECTED.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL EASYFUNDS, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, TRADING LOSSES, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN ANY EVENT, OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD 100.

Nothing in these Terms excludes or limits liability for fraud, gross negligence, willful misconduct, death or personal injury caused by negligence, or any liability that cannot be excluded under applicable law (including mandatory consumer protection laws).

14. Indemnification

You agree to defend, indemnify, and hold harmless EasyFunds and its affiliates, officers, employees, and agents from any claims, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Service, (b) your breach of these Terms, (c) your violation of any law or third-party right (including your broker's terms), or (d) Your Content.

15. Governing Law & Dispute Resolution

15.1 Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles.

15.2 Informal Resolution

Before filing any formal claim, you agree to attempt to resolve the dispute informally by sending a written notice to legal@riskframer.com describing the dispute. We will attempt in good faith to resolve the issue within 60 days of receipt.

15.3 Binding Arbitration (US Users)

If you reside in the United States, any dispute that is not resolved informally will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, in the English language, on an individual (non-class) basis. The seat of arbitration is Wilmington, Delaware; however, you may elect to participate by telephone or video.

Class action waiver. You and EasyFunds each waive the right to participate in any class, collective, or representative action.

You have the right to opt out of arbitration by sending an opt-out notice to legal@riskframer.com within 30 days of first accepting these Terms.

15.4 EU / UK / EEA Consumers — Mandatory Rights

If you are a consumer residing in the European Union, the United Kingdom, or the European Economic Area, the choice of Delaware law in Section 15.1 and the arbitration provision in Section 15.3 do not deprive you of the protection of mandatory consumer law of the country where you have your habitual residence (Article 6(2) of EU Regulation 593/2008 — Rome I).

You retain the right to bring proceedings in the courts of your country of habitual residence, and we may only bring proceedings against you in those courts (Article 18 of EU Regulation 1215/2012 — Brussels I bis).

You may also use the European Commission's Online Dispute Resolution (ODR) platform at ec.europa.eu/consumers/odr.

15.5 Other International Users

If you reside outside the US, EU, UK, or EEA, you may bring proceedings in Delaware courts or, where mandatory local law permits, in the courts of your country of residence. We may bring proceedings in either forum.

16. Export Controls & Sanctions

You represent and warrant that you are not located in, ordinarily resident in, or a national of, any jurisdiction subject to comprehensive US, EU, UK, or UN sanctions, and that you are not listed on any restricted-party list. You agree to comply with all applicable export-control and sanctions laws.

17. Force Majeure

We are not liable for any delay or failure to perform resulting from causes beyond our reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fires, floods, accidents, network or power failures, third-party service outages, or labor shortages.

18. Assignment

You may not assign or transfer these Terms or any rights under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, sale of assets, or by operation of law.

19. Entire Agreement & Severability

These Terms, together with the Privacy Policy, Cookie Policy, and Refund Policy, form the entire agreement between you and EasyFunds regarding the Service. They supersede any prior agreements. If any provision is held unenforceable, the remaining provisions will continue in full force.

Our failure to enforce any provision is not a waiver of that provision.

20. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date and, for material changes that adversely affect users, notify you by email and via the Service at least 30 days before they take effect. Continued use of the Service after a change constitutes acceptance.
